These Terms of Service (the "Terms") are a legal agreement between you and Kloz LLC ("Kloz", "we", "us", or "our"). They govern your access to and use of the Kloz platform, our website at kloz.pro, and any related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms.
1. Acceptance of Terms
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree, do not use the Service.
2. Description of Service
Kloz is an AI-powered lead-routing platform built for wholesale real estate teams. The Service helps you capture, score, route, and track leads from first touch to closed deal. Features may change as the product evolves. We may add, remove, or modify features at our discretion.
3. Account Registration and Security
To use most of the Service you must create an account. You agree to provide accurate, complete, and current information when registering and to keep that information up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at security@kloz.pro if you suspect any unauthorized access. We are not liable for losses caused by unauthorized use of your account that you did not promptly report.
4. Acceptable Use
You agree not to:
- Scrape, crawl, or harvest data from the Service by automated means.
- Reverse engineer, decompile, or attempt to extract the source code of the Service (except to the extent applicable law expressly permits).
- Use the Service to send spam, unsolicited messages, or content that violates applicable law.
- Upload or transmit malware, viruses, or other harmful code.
- Use the Service for any illegal activity, including violations of fair housing, consumer protection, telemarketing (TCPA), email (CAN-SPAM), or anti-discrimination laws.
- Interfere with or disrupt the Service, our infrastructure, or other customers' use of it.
- Resell, sublicense, or otherwise commercially exploit the Service without our written consent.
5. Intellectual Property
Kloz owns all rights, title, and interest in and to the Service, including the software, design, documentation, and branding. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
You retain all rights to the data you upload, import, or generate through the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to operate, maintain, and improve the Service for you.
6. User-Generated Content
You are responsible for the content you submit to the Service, including lead records, contact information, notes, messages, and any communications you send through integrations (SMS, email, voice, chat). You represent that you have the necessary rights and consents to upload and process that content, including any consents required to contact your leads under applicable law.
We do not claim ownership of your content. We may use aggregated, anonymized data derived from usage of the Service to improve the product (for example, to refine lead-scoring models), in a form that does not identify you or your customers.
7. SMS Messaging Terms
If you use the Service to send SMS messages, you agree to comply with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, CTIA guidelines, and any rules from US wireless carriers and the Campaign Registry. You are solely responsible for obtaining and documenting prior express written consent from every recipient before sending any message.
You agree to:
- Only message recipients who have provided clear, documented consent to receive SMS from your business.
- Honor opt-out requests immediately. STOP, END, CANCEL, UNSUBSCRIBE, and QUIT are processed automatically by Twilio; do not attempt to bypass these.
- Respond to HELP requests with information about your business and how to opt out.
- Include your business identity in initial messages and at appropriate intervals so recipients always know who is contacting them.
- Avoid prohibited content categories defined by US carriers, including sex, hate, alcohol, firearms, tobacco, illegal substances, and high-risk financial services.
- Maintain accurate brand and campaign registration with the Campaign Registry through Kloz or directly with Twilio.
We reserve the right to suspend or terminate your SMS sending privileges if we receive credible complaints, carrier notices, or evidence that you have violated this section. Kloz is not responsible for damages, fines, or carrier penalties resulting from your non-compliant messaging.
8. Subscription, Billing, and Refunds
Kloz is currently in private beta. Pricing terms are communicated separately to beta participants. When paid plans become generally available, we will publish pricing on kloz.pro and notify active accounts before any charges begin. Until then, no fees apply unless we have a separate written agreement with you.
9. Termination
You may terminate your account at any time by contacting support@kloz.pro. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. Upon termination, you may export your Customer Data for a period of 30 days, after which we may delete it from our active systems. Backups containing your data may persist for a limited period in accordance with our retention practices and then be deleted in the ordinary course.
10. Disclaimers and Limitation of Liability
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-generated outputs (including lead scores, suggested replies, and routing decisions) will be accurate or appropriate for any specific situation. You are responsible for reviewing AI-generated content before relying on it.
To the fullest extent permitted by law, in no event will Kloz be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or related to the Service. Our total aggregate liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) the amounts you paid to us for the Service in the 12 months preceding the claim, or (b) one hundred US dollars (USD 100).
11. Indemnification
You agree to indemnify, defend, and hold harmless Kloz and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service, (b) your Customer Data, (c) your breach of these Terms, or (d) your violation of any law or the rights of any third party (including any leads or contacts you communicate with through the Service).
12. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. You agree that any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of them.
